arche noVa Tender Portal: Terms and Conditions

1. Acceptance of Terms
By registering as a Service Provider or Bidder on the arche noVa Tender Portal (the "Portal"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these terms, you must not register or use the Portal.
2. Eligibility
You must be a legally registered entity or individual with the capacity to enter into binding contracts. You represent that you are not restricted by any donor requirements, international sanctions, or applicable laws from participating in procurement processes. arche noVa reserves the right to verify your eligibility and reject any registration at its sole discretion.
3. Registration Information
You agree to provide accurate, current, and complete information during registration and promptly update such information as needed. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify arche noVa of any unauthorized use of your account.
4. Bid Submission
All bids must be submitted through the Portal before the specified deadline. Late submissions will not be considered under any circumstances. You are solely responsible for ensuring the completeness, accuracy, and timely submission of your bid. Technical issues with your internet connection or equipment will not be considered valid reasons for late submission.
5. Confidentiality
All tender documents, specifications, pricing information, and related materials provided by arche noVa are confidential and proprietary. You must not disclose, reproduce, or distribute these materials to any third party without arche noVa's prior written consent. This obligation continues even if your bid is unsuccessful.
6. Code of Conduct & Anti-Corruption
Service Providers must adhere to the highest ethical standards and arche noVa's zero-tolerance policy against fraud, corruption, collusion, and coercive practices. You warrant that you have not and will not offer, promise, give, or accept any bribe, gift, favor, or advantage to influence the tender process. Violations may result in immediate exclusion from current and future tenders and legal action.
7. Account Termination
arche noVa reserves the right to terminate or suspend your account immediately, without prior notice, for violations of these Terms, submission of false information, unethical conduct, or any activity that compromises the integrity of the tender process. Termination may include exclusion from current and future procurement opportunities.
8. Limitation of Liability
arche noVa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal or participation in any tender process. This includes, but is not limited to, damages for loss of profits, data, or business opportunities. arche noVa does not guarantee uninterrupted or error-free access to the Portal.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [Insert Governing Country, e.g., France]. Any disputes arising from or relating to these Terms or your use of the Portal shall be subject to the exclusive jurisdiction of the courts of [Insert Jurisdiction City].
10. Amendments to Terms

You are granted a limited, non-exclusive, revocable license to access and use the Portal solely for participating in arche noVa tenders. Materials you submit remain your property, but you grant arche noVa a license to use them for evaluation and contractual purposes.
12. Data Protection
Your personal and business information will be processed in accordance with our Privacy Policy and applicable data protection laws. By registering, you consent to the collection, storage, and processing of your data for tender management, due diligence, and reporting to donors and auditors as required.
By checking the acceptance box during registration, you confirm your complete and unconditional agreement to these Terms and Conditions.
